Reason for Announcement: (1) On June 4, 2026, Taiwan Shin Kong Commercial Bank publicly announced, in accordance with Article 4 of the 'Taiwan Stock Exchange Corporation Procedures for Verification and Disclosure of Material Information by Listed Companies,' that its Board of Directors (acting as shareholders' meeting) had resolved to merge with Taishin International Bank. (2) Additional details of this announcement: Taishin International Bank intends to merge with Taiwan Shin Kong Commercial Bank through a share issuance merger. Both parties have already passed the merger resolution and signed the merger agreement at their respective board meetings (acting as shareholders' meetings) on June 4, 2026. The merger has been officially approved by the Financial Supervisory Commission under reference number Jin-Guan-Yin-Kong No. 11502214832 dated August 10, 2026.
