Announcement of Merger Between JAPANDX and JDX Solutions

We hereby announce that JAPANDX Co., Ltd. (Headquarters: Shinagawa-ku, Tokyo; President & CEO: Tsuyoshi Mikawa; hereinafter "JAPANDX") and JDX Solutions Co., Ltd. (Headquarters: Morioka City, Iwate Prefecture; President & CEO: Kazuo Futami; hereinafter "JDXS") will merge on May 1, 2026.

[Background]

Since its establishment in December 2020, JAPANDX has been a member of a listed group company, actively creating various synergies and advancing its business. Leveraging its experience in consistently achieving prompt and accurate quarterly disclosures, JAPANDX has decided to proceed with this MBO and merger to enable even faster and more transparent business strategies and management decisions moving forward.

Through this independence and merger, JAPANDX will be reorganized with enthusiastic and talented elites, transforming into an even more specialized and robust organization. The two companies, which have collaborated for many years, will become one team, leveraging each other's strengths to provide end-to-end services from requirements definition and development to service provision, committing to continuous and stable support and further growth.

[Regarding the New Structure]

As JAPANDX's management concept (MVV), we have consistently upheld "Creating 'Time'" since our founding. We aim to create time by coexisting with digital and DX, thereby improving the quality of life for all people.

Furthermore, while continuing to provide stable services and detailed improvements in our existing businesses for local governments and local broadcasters, we plan to explore expansion into new areas such as Medical DX, Child DX, and AI-related services. As one company, JAPANDX and JDX Solutions will work together as a unified force.
