Notice Regarding Capital and Business Alliance with Shikigaku Group

(Headquarters: Komae City, Tokyo; Representative Director: Kentaro Niibori; hereinafter "the Company") announces that it has made an institutional decision on May 13, 2026, for 100% of its issued shares to be acquired through Shikigaku Growth Capital Partners, a wholly-owned subsidiary of Shikigaku Co., Ltd. (Headquarters: Shinagawa Ward, Tokyo; President and Representative Director: Kodai Ando; hereinafter "Shikigaku").

Background and Purpose of this Transaction

The Company operates "COTOMONO MARCHE," a select shop for handmade accessories, and has promoted store operations and POPUP business as a platform to deliver products from creators nationwide to customers.

While advancing business expansion with our strengths in product curation and store creation based on the concept of "delivering value not found in ready-made products," we believe that strengthening our organizational foundation and upgrading our corporate management structure are essential for further growth.

Shikigaku provides corporate growth and management support based on its organizational management theory "Shikigaku," and holds a diverse track record of support as a listed company.

Through this transaction, we aim for medium- to long-term corporate value enhancement and sustainable growth by integrating the brand power and store management know-how the Company has cultivated with the expertise in organizational building, corporate management, and growth support possessed by the Shikigaku Group.

Future Outlook

Going forward, we will promote the following initiatives:

- Strengthening the store operation structure and organizational foundation - Developing human resource recruitment and training functions - Enhancing brand strategy and MD strategy / EC - Expanding customer touchpoints utilizing SNS - Promoting new store openings and POPUP developments - Considering new business opportunities, including overseas expansion
