Our Views on the Materials Published by Oasis on June 10, 2026

SMS Co., Ltd. (Headquarters: Minato-ku, Tokyo; President and CEO: Masaki Takahata; Tokyo Stock Exchange Prime) hereby announces its views on the presentation materials and press release (hereinafter referred to as the "Oasis 6/10 Materials") published by Oasis Management Company Ltd. (hereinafter "Oasis"), a shareholder of our company, on June 10, 2026.

The Oasis 6/10 Materials state that our company has distorted Oasis's claims. However, the history of dialogue with Oasis as we understand it is described in our "Summary of Our Views on the Presentation Materials Published by Oasis" (Note 1) disclosed on June 5, 2026 (hereinafter the "Our 6/5 Materials").

Regarding the feasibility of the roadmap formulated by our company (Note 2), please refer to Our 6/5 Materials and the "Supplementary Explanation Regarding the 'Roadmap for Maximizing Corporate Value'" (Note 3) disclosed by our company on May 22, 2026.

The contents of the Oasis 6/10 Materials include statements that differ from our understanding. We kindly request our shareholders to understand our views based on accurate facts.

Our company is steadily advancing the strengthening of its management system and corporate governance, including the appointment of four new external directors, the participation of a CFO in August of this year, and the establishment of a Corporate Value Enhancement Committee to verify the roadmap and formulate the medium-term management plan (scheduled for disclosure in April 2027). We will implement various measures under the company-proposed director system, which includes President Takahata and External Director Takagi, who have led this series of reforms (for details, please refer to Our 6/5 Materials).

Furthermore, our company will continue to engage in dialogue with shareholders and investors, including Oasis, and will advance corporate value enhancement measures based on the feedback received during the dialogue process.
