Sherpa & Company Acquires Believe Technology, a Company with Advanced Expertise in GHG Emissions Calculation, Making it a Wholly Owned Subsidiary

Sherpa & Company Inc. (Headquarters: Shinagawa-ku, Tokyo; Representative Director CEO: Jun Sugimoto; hereinafter "Sherpa") announced today that it has acquired all shares of Believe Technology Inc. (Kawasaki City, Kanagawa Prefecture; Representative Director: Shintaro Watanabe; hereinafter "Believe Technology"), a company engaged in GHG (Greenhouse Gas) emissions calculation consulting, making it a wholly owned subsidiary.

Background and Purpose

Under the vision of "realizing a world where profit and sustainability merge," our company has been supporting the efficiency and sophistication of corporate ESG information disclosure through our sustainability data platform "SmartESG." We have a track record of introducing it to approximately 100 companies, mainly large corporations (as of April 2026), establishing our position as a foundation for managing and disclosing non-financial data.

Through our support for many companies in disclosure, we have focused on the challenge many companies face in ensuring the reliability of calculated figures in GHG emissions reporting, due to the tightening of sustainability standards. Especially in calculating the entire supply chain (Scope 3), the enormous effort required for data collection and the management of evidence that can withstand third-party assurance are obstacles.

On the other hand, Believe Technology, with its vision of "accelerating decarbonization," has supported the decarbonization of Japanese companies through Scope 1-3 emissions calculation consulting and educational programs. Through over 100 consulting achievements (as of April 2026), the company has accumulated advanced data processing technology for complex activity data and calculation know-how compliant with international auditing standards.

The two companies have been providing the AI-native calculation system "SmartESG Carbon" through a business alliance since March 2026. With this complete acquisition, we aim to build an even stronger collaborative system. By incorporating Believe Technology's advanced expertise into "SmartESG Carbon" and integrating the service into a business division, we will accelerate development to meet SSBJ standards (※1) and internal control needs. We will also deepen data linkage and mutual utilization with the "SmartESG" series. This will establish a system that provides end-to-end support from GHG emissions calculation to information disclosure, maximizing synergy across the entire platform.

Sherpa will contribute to the sophistication of corporate decarbonization management by providing end-to-end expertise in sustainability/ESG information disclosure practices and GHG emissions calculation.
