Funai Soken Holdings Inc. (Headquarters: Chuo-ku, Tokyo; President and Group CEO: Takayuki Nakatani) announces that its group company, Funai Soken Agata FAS Inc. (Headquarters: Chuo-ku, Tokyo; President: Takuji Mitsuda; hereinafter "Funai Soken Agata FAS"), will integrate the management of another group company, MI Consulting Inc. (Headquarters: Nagoya, Aichi; President: Itaru Kagami; hereinafter "MI Consulting"), effective July 1, 2026 (planned).
1. Purpose and Background of the Integration The Funai Soken Group positions the strengthening of M&A and business succession support services as one of its key management strategies to support the sustainable growth of mid-tier and small-to-medium-sized enterprises. Funai Soken Agata FAS provides services covering the entire M&A process, from M&A advisory to PMI (Post Merger Integration) support. Meanwhile, MI Consulting's strengths lie in its "extensive track record in M&A support and high-level expertise" in financial and tax due diligence (DD) and valuation. Through this integration, we will consolidate the know-how, resources, and networks of both companies to create further synergies and respond more quickly and at a higher level to the increasingly complex and sophisticated needs of our clients.
2. Main Effects of the Integration This integration aims to maximize the strengths of both companies by consolidating identical businesses in group management. - Enhancing added value for clients (fusion of industry knowledge and specialized skills) By combining the Funai Soken Group's "industry-specific know-how" with MI Consulting's "advanced financial and tax expertise," we will provide essential M&A advisory services that directly lead to business growth, rather than merely supporting procedures. - Providing advanced specialized functions to partner companies We will provide higher quality specialized functions, such as DD and corporate valuation, to M&A brokerage firms and financial institutions. We will strengthen our system to strongly back up partner companies' deal closures from a "technical aspect." - Streamlining the management foundation By integrating management resources and back-office functions and establishing a stronger and more efficient business foundation, we will build a system capable of flexibly responding to urgent or highly difficult projects.
3. Future Outlook With this integration, the businesses of both companies will be succeeded by Funai Soken Agata FAS, and integrated operations will commence on July 1, 2026. By combining the "deep industry-specific knowledge" held by Funai Soken Agata FAS and the "extensive M&A support knowledge" cultivated by MI Consulting, we will evolve into a "Comprehensive FAS (Financial Advisory Service)" that can more strongly support clients' business transformation and sustainable growth than ever before. Going forward, we will further deepen our collaboration with M&A brokerage firms and financial institutions, contributing as a professional firm that backs up everyone's business.
4. Summary of the Integration Integration Schedule Shareholder meeting for integration approval: June 24, 2026 Integration date: July 1, 2026 (planned) Integration Format Management integration through intra-group reorganization.
