Announcement Regarding Full Subsidiary Acquisition and Absorption Merger by ABEJA, Inc.

MONO BRAIN, Inc. (Headquarters: Shibuya-ku, Tokyo; CEO: Shinkai Kato; hereinafter "the Company") announces that ABEJA, Inc. (Headquarters: Minato-ku, Tokyo; CEO: Yosuke Okada; hereinafter "ABEJA") will acquire all shares of the Company, making it a wholly-owned subsidiary, and subsequently carry out an absorption merger with ABEJA as the surviving company and the Company as the dissolved entity (hereinafter "this transaction").

Through this transaction, the Company’s expertise in AI governance and AI security, cultivated since its founding, will be integrated into ABEJA’s operational platform for AI utilization, "ABEJA Platform," enabling the delivery of more robust and transparent AI implementations to enterprise clients.

Inquiries regarding this transaction will be accepted via the Company’s inquiry form (https://modelsafe.jp/contact) until August 31, 2026.

Background of the Transaction

Since its inception, the Company has operated as a startup providing governance, quality, and compliance support for AI development and operations to enterprise clients. Focusing primarily on AI governance and AI security, the Company has advanced its business through the development and provision of its platform "MODEL SAFE."

With the rapid adoption of generative AI, ensuring AI safety, accountability, and security—and establishing governance mechanisms that function effectively on both technical and institutional levels—has become essential for integrating AI into core business operations and mission-critical domains.

In this context, ABEJA, with its strengths in AI implementation, and the Company, with its expertise in AI "governance," have determined that combining forces will enable the creation of new value, leading to this transaction.

By integrating the Company’s specialized AI governance capabilities into ABEJA’s "ABEJA Platform" and its "Human in the Loop" framework for human-AI collaboration, the combined entity will further enhance the objectivity and systematic nature of governance functions, accelerating the societal implementation of "trustworthy AI" on a broader foundation.

The Company’s services, including "MODEL SAFE," will continue to be provided after the transaction. Existing contracts and support systems will also remain unchanged.
