Notice Regarding Signing of Business Transfer Agreement for a Portion of the Functional Ingredients Business

Mitsui DM Sugar Co., Ltd. (Minato-ku, Tokyo; President and CEO: Taku Morimoto), well-known for its 'Spoon' and 'Bara' brand sugars, announced that it has concluded a business transfer agreement with its wholly-owned subsidiary, TAISHOTECHNOS CO., LTD. (Minato-ku, Tokyo; President: Yasushi Suzuki), for a portion of its functional ingredients business on May 11, 2026.

With this agreement, we will establish a system to provide higher value-added products and services by combining the strengths of both companies: Mitsui DM Sugar's long-cultivated 'development, manufacturing, and quality control capabilities' and Taishotechnos' specialized 'technical sales force and broad sales network.'

(1) Effective Date: October 1, 2026

(2) Transferor Company: Mitsui DM Sugar Co., Ltd.

(3) Transferee Company: TAISHOTECHNOS CO., LTD. (a wholly-owned subsidiary of our company)

(4) Target Business: A portion of the functional ingredients business (as described in the table below)
