CNBC reported on Tuesday (28th) that fast-fashion giant Shein is preparing for a Hong Kong listing, but the company has for the first time disclosed in its filing documents that its US operations are under investigation by the US Federal Trade Commission (FTC), which could ultimately result in a settlement and substantial fines, significantly adversely affecting its financial condition and operational results.

In documents submitted to the Hong Kong stock exchange operator, Shein did not specify the exact nature of the FTC's investigation, only stating that it is actively cooperating. Shein noted that while a settlement with the FTC cannot be ruled out, it is currently unable to predict the outcome or completion timeline of the investigation, nor can it exclude the possibility of a resolution in the near term.

Shein warned that regardless of whether the matter is ultimately resolved through a settlement or other means, it may require the company to make substantial payments, thereby having a significant adverse impact on its financial condition and operational performance. Neither Shein nor the FTC immediately responded to requests for further comment.

The FTC is the primary US consumer protection agency, responsible for stopping deceptive or unfair business practices. In the past, the agency has investigated companies over issues such as suppressing negative reviews, hidden fees, misleading pricing, shipping and refund policies, and personal privacy and data usage.

In recent years, the FTC has also actively cracked down on so-called 'dark patterns'—interface designs and psychological tricks used by companies to manipulate consumers into parting with money or personal information. Common tactics include pre-checked options, deliberately hiding important information in hard-to-read locations, and designing complex cancellation procedures.

Shein's app frequently uses countdown timers, gamified discounts, and limited-time promotions to create a sense of urgency, encouraging consumers to place orders quickly. The FTC's 2022 report on dark patterns also listed countdown timers as a common tactic. However, it remains unclear whether Shein's current investigation is related to these practices.

Shein rose rapidly after the COVID-19 pandemic and became one of the most globally recognized fast-fashion platforms. The company initially sought a US listing but faced strong political resistance due to its business model and operating practices. It then shifted to preparing for a London listing before ultimately deciding to go public in Hong Kong.

Shein's Hong Kong listing application has recently been approved, but the actual trading commencement date remains undetermined. The revelation of the FTC investigation could introduce new uncertainties into its IPO process, valuation, and investor confidence.
