Taiwan-based industrial computer giant Kohjinsha (6414-TW) announced on the evening of the 29th that the acceptance period for its public tender offer for subsidiary Kontron AG has successfully concluded. During the offer period, a total of 12,289,840 shares were registered for sale, representing approximately 19.5% of Kontron's issued shares.
Based on preliminary results and Kohjinsha's current ownership of 30.02% of Kontron's shares, the company expects that even after the transaction, it will not obtain a majority of voting rights in Kontron. The completion of the transaction remains contingent upon obtaining necessary regulatory approvals, including Germany's mandatory foreign direct investment (FDI) review.
Shareholders retain the right to withdraw their tendered shares until all required regulatory approvals are secured. Therefore, the final participation rate will only be confirmed after the regulatory review process is completed. Kontron is fully cooperating with relevant authorities, though the duration of the review will depend on each authority's assessment timeline.
Kohjinsha emphasized that during this period and beyond, it will continue its long-standing, solid partnership with Kontron under the principle of 'One Team, One Family.' Through 'hardware-software integration and smart value addition,' both companies will deliver comprehensive AI + IoT integrated solutions, seizing the historic opportunity of practical AI deployment. This collaboration aims not only to expand global market share but also significantly increase revenue and profit contributions from high-margin businesses, leading industries worldwide into a new era of intelligence.
