Paramount Skydance (PSKY-US) is moving forward with its $110 billion acquisition of Warner Bros. Discovery (WBD-US). Although the deal is currently paused due to legal challenges in the United States, it made progress on Thursday (6th) in the UK’s regulatory review.
Both the UK’s antitrust authority and the Culture Secretary have decided not to escalate their investigations, removing one obstacle for this large-scale media merger.
The UK Competition and Markets Authority (CMA) stated that the transaction would not raise competition concerns in the UK and therefore decided not to refer it for an in-depth Phase 2 investigation. Additionally, UK Culture, Media and Sport Secretary Lisa Nandy decided not to intervene in the deal after accepting legally binding commitments and assurances provided by Paramount.
In its statement, the CMA explained, "The available evidence indicates that sufficient competition will remain post-merger across various sectors, including film and television content production and distribution, provision of children’s channels to pay-TV providers, and the streaming services market. Therefore, no further review is necessary."
With UK regulators clearing the path, Paramount can now focus on overcoming the legal hurdles in the US. Lawsuits filed by 12 US states and the Writers Guild of America have forced Paramount to halt the advancement of the deal. Opponents have expressed concerns about the market implications of merging two major Hollywood studios, two streaming platforms, and two large cable network operators.
If successfully completed, the transaction would reshape the global entertainment landscape, consolidating Paramount and Warner Bros. Discovery’s vast assets in film, television, streaming, and cable under one corporate umbrella.
Following the European Union’s conditional approval last month, the UK’s green light signifies important progress in Europe’s key regulatory markets. However, with rising opposition and unresolved legal proceedings in the US, the future of this $110 billion Hollywood mega-merger remains highly uncertain.
