Server manufacturer Super Micro Computer, Inc. (SMCI-US) announced on Thursday (the 20th) that it has completed an independent investigation into its export compliance program. The investigative team concluded that senior management was not aware of an alleged scheme involving the diversion of NVIDIA (NVDA-US) chips and servers. Following the announcement, Super Micro's stock price surged by as much as 5.9%.
As of press time, Super Micro (SMCI-US) shares were up 1.09% during trading, temporarily priced at $36.98 per share.
Super Micro stated that the independent investigation found no evidence that the company directly sold products to restricted parties, nor were there indications that the potential diversion of regulated items would affect the reliability of previously issued financial statements.
The company said it has taken several personnel actions based on the investigation results, including terminating certain employees. Independent directors have also proposed further strengthening of the export compliance program, all of which have been adopted by the board. However, the statement did not disclose the identities or number of terminated individuals.
U.S. prosecutors previously charged one co-founder of Super Micro and two other individuals with violating U.S. export control regulations by allegedly illegally shipping servers equipped with NVIDIA chips worth billions of dollars to China.
Prosecutors allege that the three defendants first sold the hardware to a Southeast Asian company and then coordinated shipments to Chinese customers, thereby circumventing U.S. export restrictions. All three have denied the allegations and pleaded not guilty in court.
Super Micro's investigation results distance senior management from the alleged diversion scheme and temporarily ease market concerns about the reliability of its financial reporting. However, the U.S. criminal case against the co-founder and others remains ongoing, and future legal developments, along with how the company strengthens its export control procedures, will remain focal points for investors.
