Kimberly-Clark (KMB-US) is preparing to propose asset sales to win European Union approval for its acquisition of Tylenol manufacturer Kenvue (KVUE-US), addressing regulatory antitrust concerns over the $40 billion deal.

According to Reuters on Monday (14th), citing informed sources, the European Commission is expected to formally communicate its competition concerns to Kimberly-Clark this week. At that point, the company will decide whether to submit remedial measures before the preliminary review deadline of September 29 to push for swift approval, or wait until after the EU launches a four-month in-depth investigation before presenting its plan.

Kimberly-Clark announced the acquisition of Kenvue in November last year. If completed, Kenvue’s brands—including Listerine mouthwash, Aveeno, and Neutrogena—will be integrated into Kimberly-Clark’s existing portfolio, operating alongside Kleenex tissues and Huggies diapers.

It remains unclear which assets Kimberly-Clark plans to sell, or whether such measures will sufficiently alleviate EU concerns about product overlap and market competition. The European Commission declined to comment, while Kimberly-Clark and Kenvue did not respond to requests for comment.

The deal received conditional approval last week from Australian regulators, requiring Kimberly-Clark to divest Kenvue’s local Carefree and Stayfree feminine hygiene brands. South African regulators granted conditional approval last month, indicating that global reviews are focusing on competitive issues within specific product markets.

This major merger comes as consumer goods companies face mounting business pressures. With consumers increasingly prioritizing price and practicality, firms are launching smaller, lower-priced products while cutting underperforming businesses. While Kimberly-Clark hopes to expand its brand footprint through the Kenvue acquisition, it must pay the price of selling off certain assets to overcome regulatory hurdles worldwide.
