Coretronic (5371), a major player in the optoelectronics industry, has taken a critical step forward in its organizational transformation. The Financial Supervisory Commission (FSC) has officially approved the suspension of public issuance and termination of over-the-counter (OTC) trading of Coretronic's shares, effective September 3.
To advance group-wide resource integration and enhance overall operational efficiency, the company will execute a full share conversion through a share swap structure. Under a 1:1 exchange ratio, Coretronic will become a wholly-owned subsidiary of the newly established 'Coretronic Investment Holding Co., Ltd.' (Coretronic IH). On the same day, September 3, shares of the newly formed Coretronic IH will be listed and commence trading on the TPEx (Taiwan Stock Exchange's over-the-counter market).
This significant share conversion plan was approved during the company's annual general meeting of shareholders held on June 12 this year. According to the plan, all 390,981,110 issued ordinary shares of Coretronic will be fully converted into shares of Coretronic IH. The conversion ratio is set at one existing ordinary share of Coretronic for one ordinary share of Coretronic IH.
Upon completion of the conversion, Coretronic IH will have a total of 390,981,110 issued shares, with a par value of NT$10 per share, resulting in a paid-in capital of NT$3,909,811,100. This ensures that the overall capital scale and shareholder equity are seamlessly transferred into the new holding company structure.
In coordination with this share conversion, the regulatory authorities and the GreTai Securities Market (TPEx) have finalized the detailed schedule. The last trading day for Coretronic's stock will be August 21. Trading will be officially suspended starting August 24, during which investors will be unable to place orders or execute trades in the secondary market.
Additionally, the final share transfer date for shareholders is set for August 25, with the share transfer suspension period running from August 26 to September 3. This period will be used to confirm the shareholder register and complete the share conversion registration process.
The share conversion benchmark date for the entire restructuring is set for September 3. On this date, Coretronic's stock will officially be delisted and cease public issuance. Simultaneously, Coretronic IH shares will be seamlessly listed and begin trading on the TPEx. By establishing a holding company structure, the company aims to optimize resource allocation while maintaining its existing capital scale, providing a more flexible operational platform for future business development.
