(Headquarters: Ota-ku, Tokyo; President: Atsushi Morishita; hereinafter 'Tenpos') resolved at its Board of Directors meeting held on May 18, 2026, to underwrite a third-party allotment of shares planned by Marches Co., Ltd. (Headquarters: Abeno-ku, Osaka; President: Yotsugu Kato; hereinafter 'Marches'), effectively deciding to make Marches a subsidiary. This matter is subject to approval at Marches' annual general meeting of shareholders and the effectiveness of filings under the Financial Instruments and Exchange Act. If these conditions are met, Marches is expected to become a consolidated subsidiary of Tenpos. This is not finalized at this time and may be subject to change based on future procedures. As a 'comprehensive producer' in the food service industry, Tenpos has supported restaurant management through a wide range of services, including not only the sale of kitchen equipment and supplies but also management consulting, store design, interior construction, real estate introduction, and leasing/credit services. Additionally, its food service business, including the steakhouse chain 'Asakuma,' is a major pillar driving the group's growth.
