Background of Report Publication

On May 25, 2026, the "Law on Promotion of Business-Oriented Financing" (commonly known as the Business Financing Promotion Law) came into effect, introducing a new system called the "Enterprise Value Security Right." This allows companies to use their entire enterprise value—including intangible assets such as know-how, customer base, and future cash flows—as collateral, not just tangible assets like real estate. One of the key objectives of this system is to facilitate smoother financing for startups with limited tangible assets and for business owners who hesitate to expand or transfer their businesses due to personal guarantees. This system is not only relevant to financial institutions but is also gaining attention as a way to expand financing and business succession options for SMEs in regional areas that cannot offer physical assets like real estate or equipment as collateral, or that face challenges due to a lack of successors. However, since the system is still very new, comprehensive information on which companies are using it and for what purposes remains limited.

TRUSTART maintains an independent monitoring system for nationwide commercial registration acceptance data, enabling us to comprehensively track trends in Enterprise Value Security Right registrations. Therefore, we conducted an original survey on post-implementation registration trends and compiled the currently known findings into a preliminary report.

TRUSTART independently monitored Enterprise Value Security Right registration data across all 47 prefectures of Japan, based on commercial registration acceptance records. A total of 20 companies have been identified as having established such rights (as of July 10, 2026, according to TRUSTART's research). The observed trends among these companies are as follows:

Based on monthly collected and database-structured commercial registration acceptance data from Legal Affairs Bureaus nationwide, this system enables timely detection as data is processed immediately upon receipt.
