We hereby announce that we have concluded a joint venture agreement with abc Inc. (TSE Standard: 8783), ReYuu Japan Inc. (TSE Standard: 9425), Image One Co., Ltd. (TSE Standard: 2667), FD Inc., and Birdman Inc. (TSE Growth: 7063). This agreement establishes "AI Data Partners Inc." (hereinafter referred to as the "Joint Venture"), a jointly funded company that will lead the development and operation of high-performance data centers specialized for AI in Japan.

1. Reason for Establishing the Joint Venture

As announced in the "Notice Regarding the Conclusion of a Basic Agreement (MOU) among Five Companies for the Development and Operation of an AI-Specialized High-Performance Data Center" dated April 24, 2026, we have been preparing for the establishment of a joint venture aimed at building a development and operation structure for AI-specialized high-performance data centers in Japan.

Furthermore, as announced in the "Notice Regarding the Additional Participation of Birdman Inc. in the AI-Specialized High-Performance Data Center Development Project (Transition to a Six-Company Structure)" dated May 18, 2026, Birdman Inc. joined the project, transitioning the initiative into an alliance of six companies, including five listed companies.

Subsequently, the six companies have held discussions regarding specific establishment conditions, investment ratios, board composition, rights and obligations among shareholders, and operating rules post-establishment for the Joint Venture.

Recently, having discussed the positioning and role sharing of each company's business, procedures such as the conclusion of the joint venture agreement for the establishment of the jointly funded "AI Data Partners Inc." by the six companies have been completed, leading to the formal decision to establish the company.

By integrating the strengths of the six-company alliance in "financing, land acquisition, power procurement, AI solutions, maintenance and operation, and branding," the Joint Venture will realize the provision of a next-generation, highly competitive high-performance data center serving as an AI foundation. This offering will be a vertically integrated, one-stop service covering everything from design to equipment procurement, operation, and equipment life cycle management (reuse).

2. Social Significance and Strengths of This Business

Currently, along with the rapid expansion of the generative AI and big data markets, the global demand for high-performance data center infrastructure capable of supporting massive computational processing is surging. Particularly in Japan, securing advanced computing resources domestically has become a pressing social issue from the perspectives of economic security and the promotion of DX (Digital Transformation).

The new Joint Venture will merge the strengths of the six-company alliance in "financing, land acquisition, power procurement, AI solutions, maintenance and operation, and branding." By combining these respective strengths, the company aims to build a structure that cohesively promotes everything from design to equipment procurement, operation, and equipment life cycle management.
