Garage Bank Co., Ltd. (Headquarters: Minato-ku, Tokyo; Representative Director: Yoshihito Yamamoto; hereinafter "Garage Bank"), operator of the physical asset management and utilization app "cashari," has entered into a share transfer agreement with Komehyo Holdings Co., Ltd. (Headquarters: Nagoya, Aichi; President & CEO: Takuo Ishihara; TSE Standard & Nagoya Stock Exchange Main Market: 2780; hereinafter "Komehyo HD") effective July 16, 2026, to become a wholly-owned subsidiary and join the Komehyo Holdings Group. The share transfer is scheduled to be completed on July 29, 2026.

Background and Purpose of the Transaction

Since its founding in 2020, Garage Bank has operated under the mission of "Turning the value of things into everyone’s ability to act," offering the "cashari" app service that enables users to complete the entire process—from item appraisal to monetization—using just a smartphone. The app has surpassed 400,000 cumulative downloads and is widely used by customers.

Centered on patents related to systems that enable the full process of appraisal, application, and contract management for smartphone-based sale-and-leaseback services, the company has refined proprietary technologies in image-based appraisal and credit assessment, introducing to society a new form of asset utilization that allows users to monetize items without parting with them.

Meanwhile, Komehyo HD, founded in 1947, is a leading company in the resale industry, renowned for its exceptional expertise in valuation, an integrated value chain covering procurement, refurbishment, and sales, and the rich reuse data generated through these operations.

Through this integration, Garage Bank will combine its technology and customer base with Komehyo HD’s real-time market databases and specialized human resources in the reuse sector, further advancing the “visualization of physical asset value” and enhancing the scalability and reliability of the cashari service. By merging the strengths of both companies, the partnership aims to expand beyond traditional resale market frameworks and create innovative buying and selling experiences.

Future Developments

Following the integration, Garage Bank will continue to operate under the "cashari" brand and provide its services. There will be no changes to existing customers’ contract terms or service conditions.

Moving forward, the company will leverage Komehyo HD Group’s management resources to advance the following initiatives:

- Further improvement in appraisal and credit assessment accuracy through integration with market price databases - Expansion of item categories and leaseback service coverage - Development of new services linked with the group’s value chain

Comment from Representative Director Yoshihito Yamamoto

Since our founding, we have continuously worked toward realizing our vision of “creating a world overflowing with ‘can-do’ spirit” by fairly evaluating the value of physical items and enabling instant monetization. We are delighted to take a significant step forward as part of Komehyo Holdings, a company that deeply understands the value of items and has led the resale industry.

The fusion made possible only with Komehyo HD—whose deep expertise in valuation, extensive data, and our own technology—will dramatically enhance the value we can offer customers. We are committed to continuing the evolution of cashari. We sincerely appreciate your ongoing support.

About the Physical Asset Management App "cashari"

"cashari" is a service that requires no initial registration—simply take a photo with your smartphone to confirm an item’s value and convert it into cash in as little as 30 seconds. The app supports a wide range of physical assets, including smartphones, gaming consoles, branded goods, and automobiles, and has surpassed 400,000 downloads (as of July 2026).

The key feature of cashari is its app-based leaseback service, which allows users to continue using their items after selling them for cash by paying a lease fee. The entire process—from appraisal and identity verification (eKYC) to contract signing and fund disbursement—is completed within the app. At the end of the lease period, users can choose to return the item or repurchase it. This innovative financial service enables users to access funds without parting with their items, offering an alternative to cash advances or loans for everything from new ventures to unexpected financial needs.

Additionally, cashari offers an in-app wallet powered by embedded financial services, compatible with Visa debit card payments, allowing users to spend their monetized funds directly in daily life. The service operates in full compliance with the Secondhand Goods Business Act and related regulations, implementing thorough identity verification via eKYC and anti-money laundering (AML) measures, along with security protocols aligned with the international information security standard "ISO/IEC 27001:2022."
