Reason for Occurrence: (1) To revitalize assets and strengthen operational funds, the company previously resolved at the board meeting on March 15, 114, to dispose of all land and buildings at the 'No. 353, Section 4, Zhongzheng Road, Zhongli District, Taoyuan City' Zhongli plant via public tender, authorizing the chairman to sign a contract appointing Savills Taiwan Co., Ltd. to handle the related public tender matters. (2) The company originally intended to proceed with the public tender after the annual general meeting on June 20, 114, which was to approve the disposal of the entire Zhongli plant land (the building portion had already been approved for demolition at the June 20, 114 annual meeting and thus excluded from the scope). However, prior to June 20, 114, the Commercial Court notified the company of an upcoming site inspection regarding its lawsuit over illegal demolition of the Zhongli plant. Out of respect for the judicial review process, the company resolved at the June 20, 114 annual meeting to temporarily suspend the disposal of the land. The Commercial Court completed the inspection on January 26, 115. (3) Meanwhile, the company has engaged professional contractors to dismantle the Zhongli plant buildings. The current contract with Savills Taiwan Co., Ltd. for handling the public tender is set to expire on September 30, 115. To continue the public tender process for disposing of the entire Zhongli plant land, the company proposes to extend the appointment of Savills Taiwan Co., Ltd. (4) Furthermore, this contract extension will follow the original real estate consignment sales agreement signed after the board resolution on September 8, 114. Therefore, similar to the board resolution on March 13, 115, only an addendum agreement regarding the extended term will be signed with Savills Taiwan Co., Ltd., while all other terms—including scope of commission and service fee calculation—remain unchanged.
