Rongcheng Paper Industry Co., Ltd. (1909, hereinafter referred to as "Rongcheng") convened a board meeting on August 12, 115 (2026), approving a proposal to transform into an investment holding company via corporate division. The Company will transfer all operations related to its Taiwan-based businesses—"Industrial Paper Business" and "Box Business" (including assets, liabilities, and operations)—in their entirety to its 100%-owned subsidiary, "Rongcheng Low-Carbon Box Co., Ltd." (hereinafter referred to as "Rongcheng Low-Carbon Box"). Rongcheng will then restructure into an investment holding company and change its name to "Rongcheng Investment Holding Co., Ltd." (hereinafter referred to as "Rongcheng IH"), focusing on overall group strategy planning, resource allocation, and external investment deployment.

The proposed business division and transformation into a holding company will be discussed and voted upon at an extraordinary shareholders’ meeting scheduled for October 1, 115 (2026), with a tentative effective date set for January 4, 116 (2027). This division constitutes an organizational adjustment and will not affect Rongcheng’s overall shareholders’ equity. After the division, Rongcheng IH (stock code remains 1909) will maintain its listing status.

Regarding the divided business, Rongcheng will exchange the total business value of its Industrial Paper and Box operations—NT$6 billion—for newly issued common shares of Rongcheng Low-Carbon Box at a rate of one share per NT$30. Upon completion of the division, Rongcheng Low-Carbon Box will become a 100%-owned subsidiary under Rongcheng IH, exclusively responsible for Taiwan’s industrial paper and box-related operations. Meanwhile, the existing L&C CO., (BVI) LTD. and its affiliated companies will manage mainland China operations, while Japan Rongcheng and its subsidiaries will handle Japanese and other overseas operations, forming a tri-regional subgroup structure within the Group.
