Notice Regarding Publication of 'Summary of Our Views on the Presentation Materials Published by Oasis'

SMS Co., Ltd. (Headquarters: Minato-ku, Tokyo; President: Masaki Takahata; TSE Prime) has announced the publication of a summary of its views regarding the presentation materials released by Oasis Management.

On May 28, 2026, Oasis Management Company Ltd. ("Oasis") released a presentation titled "A Better SMS" and a special website, stating their opposition to the re-election of our Representative Director and President, Masaki Takahata, and Outside Director/Audit and Supervisory Committee Member, Nobuko Takagi.

Since 2025, we have held 20 meetings with Oasis. We have also received feedback from Oasis and other investors regarding the "Roadmap for Maximizing Corporate Value" published this April. We intend to reflect these opinions in our future mid-term management plans.

However, as the Oasis presentation contains several factual inaccuracies, we are publishing our views to ensure a better understanding among our shareholders.

【Key Points of Our View】 ・Continued Dialogue: We have conducted over 20 meetings since 2025 and will continue to do so. ・Aligned Objectives: We have incorporated insights gained through dialogue into our portfolio transformation and strengthening of our SaaS and direct recruiting businesses. ・Governance Strengthening: We have decided to appoint four new outside directors, anticipate the participation of a CFO in August, and have established a Corporate Value Enhancement Committee.

We believe the re-election of President Takahata and Outside Director Takagi, who have led these reforms, is a rational conclusion for achieving our goal of enhancing corporate value.
