Taipei, July 7 (CNA) The Financial Supervisory Commission (FSC) today approved the merger of Bank SinoPac and King's Town Bank. After the merger, Bank SinoPac will be the surviving entity. The FSC stated that after the merger, the two banks will have 189 branches, making them the second largest in the domestic banking sector. The provisional merger effective date is set for January 1, 2027.

The FSC stated that after Bank SinoPac completed the merger with King's Town Bank on October 1 last year, SinoPac Financial Holdings held 100% of the shares in both Bank SinoPac and King's Town Bank. This case was approved by the boards of directors of Bank SinoPac and King's Town Bank, acting as the shareholders' meetings, on March 27 this year. The merger consideration will be paid by Bank SinoPac issuing new shares to King's Town Bank shareholders, with any shortfall to be settled in cash.

Wang Yun-chung, deputy director of the FSC's Banking Bureau, pointed out that as of the end of December 2025, the total assets of Bank SinoPac and King's Town Bank were approximately NT$2.83 trillion and NT$0.36 trillion, respectively. After the proposed merger, the total assets of the surviving bank will reach NT$3.19 trillion, with a capital of approximately NT$129.4 billion and 191 domestic business locations (including the business departments of the two banks). According to the applicant's documents, the two banks have complementary strengths in business locations, main businesses, and customer segment operations, and the merger will help enhance operational scale and overall competitiveness.

Wang Yun-chung pointed out that after the merger, the two banks will have 189 branches, ranking second among domestic banks, second only to the 248 branches of First Commercial Bank. After the merger, the market share of deposits and loans for the two banks will both rank 12th among domestic banks. In terms of ATMs, Bank SinoPac has 636 units and King's Town Bank has 74 units, totaling 710 ATMs, ranking seventh in the market.

Wang Yun-chung added that the two parties must fully ensure the security of bank information, customer service, and safety before the merger can be completed.
