(CNA, Hsinchu, July 8) - ADATA Technology Co., Ltd. (ADATA) board of directors resolved on July 7th to launch a public tender offer for Li-Liang Co., Ltd. ordinary shares at NT$24 per share in cash. ADATA announced today that as of 3:30 PM, the cumulative number of shares tendered reached 10,133,986, exceeding the minimum acquisition quantity of 10 million shares, thus fulfilling the conditions for the public tender offer.
ADATA's board of directors resolved to publicly acquire between 10 million and 25 million shares of Li-Liang, representing approximately 22.29% to 55.73% of Li-Liang's equity, from July 8th to July 27th.
ADATA announced today that as of 3:30 PM, the cumulative number of shares tendered reached 10,133,986, exceeding the minimum acquisition quantity of 10 million shares, thus fulfilling the conditions for the public tender offer.
ADATA stated that in accordance with the relevant regulations of the "Regulations Governing Tender Offers for Publicly Offered Securities of Public Companies," tendering parties may not withdraw their tenders after the tender offeror makes this announcement, unless otherwise provided by law.
ADATA indicated that the conditions for this public tender offer have been met. If the tendered shares are not deemed as not having been tendered from the outset due to preservation procedures such as provisional seizure, provisional attachment, or enforcement procedures, or other transfer restrictions, and if there are no other circumstances approved by the competent authority to suspend the tender offer, the settlement of tendered securities and payment of acquisition consideration will be completed within 5 business days from the day following the expiration of the tender offer period.
Regarding the public tender offer for Li-Liang shares, ADATA stated that it will leverage Li-Liang's high-end artistic design and cultural value to enhance the group's brand image and differentiation.
