TAIPEI (CNA) - Southeast Asian ride-hailing and delivery giant Grab is planning to acquire foodpanda's Taiwan business. However, Uber's stake in Grab has raised concerns about a "backdoor" investment. Grab announced today that Uber Technologies CEO Dara Khosrowshahi resigned from Grab's board of directors on July 6th, underscoring Grab's commitment to maintaining a sound and independent governance structure in the proposed acquisition of foodpanda's Taiwan business.
Southeast Asian ride-hailing and delivery giant Grab is planning to acquire foodpanda's Taiwan business. After several months of supplementary documentation, the Fair Trade Commission (FTC) accepted the case in mid-June. If the review period is not extended, the outcome is expected to be announced by the end of July.
The public is paying attention to the previous rejection of the Uber Eats and foodpanda merger. However, Uber is Grab's largest institutional shareholder, holding approximately 13.5% of its shares. Now, Grab's acquisition of Taiwan's foodpanda has raised concerns about a "backdoor" investment.

Grab stated that it has always maintained a strict and independent corporate governance structure. Under this structure, Khosrowshahi had proactively recused himself from all board discussions and decisions related to Taiwan. This board adjustment further underscores Grab's commitment to maintaining a sound and independent corporate governance structure in the proposed acquisition of foodpanda's Taiwan business.
Grab emphasized that it is a founder-led company. Under a dual-class share structure, Group CEO and Co-founder Anthony Tan holds more than half of the voting rights. Therefore, all of Grab's major strategic decisions are independently made by its management team based in Singapore.
Grab pointed out that Dara Khosrowshahi joined the Grab board in 2018 after Uber sold its Southeast Asian business to Grab. As a non-executive director, he was responsible for fulfilling the board's oversight duties and did not participate in Grab's daily management or operations.
Grab stated that after this board adjustment, the Grab board consists of a total of 6 directors, 4 of whom are independent directors.
According to filings and public information, as of January 31, 2026, Uber holds approximately 13% of Grab's common shares. However, Grab emphasizes that Uber's voting rights are less than 4%, and it does not participate in Grab's daily operational management.
