M&F Life Insurance to Delist on September 1; August 19 is Final Trading Day

(Central News Agency reporter Su Ssu-yun, Taipei, July 13) The Financial Supervisory Commission approved on July 7 that E.SUN Financial Holding would acquire 100% of M&F Life Insurance through a share swap. M&F Life today further announced that the last trading day for its shares will be August 19, and the share transfer benchmark date is set for September 1. The company will apply to the Taiwan Stock Exchange for delisting on the benchmark date in accordance with relevant regulations.

E.SUN Financial and M&F Life Insurance held extraordinary board meetings and extraordinary shareholders' meetings on November 5 of last year and January 23 this year, respectively, approving the share transfer plan. Upon completion, M&F Life will become a wholly-owned subsidiary of E.SUN Financial. E.SUN Financial submitted its application to the Financial Supervisory Commission on May 8, which approved the merger on July 7.

M&F Life today issued a material announcement stating that the share transfer benchmark date is set for September 1, and it will apply to the Taiwan Stock Exchange for delisting on that date in accordance with relevant laws and regulations.

M&F Life noted that because E.SUN Financial's 115th annual general meeting on June 12 approved the 114th fiscal year profit distribution plan and announced July 7 as the ex-dividend date, the share exchange ratio has been adjusted after the ex-dividend date to 0.2596 shares of E.SUN Financial ordinary shares for every 1 share of M&F Life ordinary shares (originally announced as 0.2486 shares).

M&F Life also announced today the subsequent schedule for the share transfer: the last trading day for shares is August 19, the last share transfer registration date is August 21, and the share transfer benchmark date and delisting date is September 1. (Editor: Pan Yi-ching) 1150713
