Darfon Electronics held an extraordinary board meeting today and approved a strategic investment in Quan-Jing Technology. The company plans to invest a total of approximately NT$800 million through participation in a cash capital increase and subscription to private convertible bonds (CB). After the conversion of the CB, Darfon will acquire approximately 48.4% of Quan-Jing's equity. Darfon introduced that Quan-Jing Technology was established in 2023 and focuses on the R&D and manufacturing of air-cooling and liquid-cooling thermal components and modules. The team has over 25 years of experience in the thermal industry, with many core members having worked at world-class thermal manufacturers, making them well-versed in system integration and smart manufacturing. Darfon stated that the trend of high-speed computing is clear, and thermal management capabilities and solutions play a crucial role in industrial development. Liquid cooling is gradually becoming the mainstream, and the Coolant Distribution Unit (CDU) is the core key to liquid cooling systems. Darfon pointed out that Quan-Jing Technology's team possesses both air-cooling and liquid-cooling system integration experience, as well as independent technology capabilities in motors and electronic controls. Currently, its AI liquid-cooling CDU products have been officially mass-produced and shipped, with orders continuing to grow, verifying its technical strength and market competitiveness. Darfon stated that this investment in Quan-Jing will fill the gap in the group's AI high-end thermal component portfolio. In the future, they will join forces to build a globally competitive thermal management solution platform and strengthen overall profitability.
