The stock price of Japanese electronic components giant TDK experienced severe volatility on Tuesday (18th), plunging approximately 11% intraday to 10,095 yen. This sharp decline not only made it the worst-performing constituent of the Nikkei 225 index but also led the downturn in Japan's semiconductor-related stocks.
The primary cause of the stock collapse was revealed in a regulatory filing showing that Situational Awareness, a U.S.-based fund focused on artificial intelligence (AI) investments, had significantly liquidated its holdings in early August.
Situational Awareness was founded by Leopold Aschenbrenner, a former OpenAI researcher. According to reports submitted to Japan's Ministry of Finance, the fund's portfolio faced immense pressure due to recent substantial valuation corrections in AI-related stocks, bringing it close to the brink of insolvency. To alleviate the operational crisis, the fund was forced to sell off most of its equity holdings to institutions such as Citadel Securities.
The documents indicate that Situational Awareness sold approximately 4.62 million shares of TDK stock off-market on August 3 at 9,397 yen per share to Citadel, a globally top-tier hedge fund. Additionally, the fund transferred part of its holdings to Jane Street, JPMorgan Securities, and Barclays Bank in early August at prices around 10,225 yen per share.
Disclosure filings show that Situational Awareness' stake in TDK had previously reached as high as 16.61%. However, following the large-scale sell-off on August 3, its ownership ratio sharply decreased to 4.41%. Furthermore, the fund only filed its report on August 12, over a month late, violating Japan's Financial Instruments and Exchange Act, which requires timely disclosure when shareholdings exceed 5%. The fund now faces potential fines equivalent to one hundred-thousandth of the invested company's total market capitalization.
Although the market initially reacted positively last week upon learning of the fund's investment in TDK, the subsequent news of the liquidation quickly reversed market sentiment.
