5871 Chailease Holding: Subsidiary Zhonghe Electric Power Acquires 49% Stake in Yiyang Green Energy

Chailease Holding (5871) announced on May 22, 2025, that its subsidiary, Zhonghe Electric Power Co., Ltd., has acquired a 49% equity stake in Yiyang Green Energy Co., Ltd. The transaction involves 61,250,000 shares at a price of NT$11.63 per share, totaling NT$712,836,810. The counterparty is Liyang Energy Co., Ltd., which is an existing shareholder of Yiyang Green Energy and a qualified project consultant selected by the Pingtung County Government. The transaction was approved by the board of directors of Zhonghe Electric Power and will be funded by internal capital. The price was determined based on a fairness opinion from an accountant, taking into account the target company's profitability and future potential. Following this transaction, the company's total securities investment accounts for 1.09% of its total assets.
