ORO Corporation (Headquarters: Meguro-ku, Tokyo; President and CEO: Atsushi Kawata) and PUBLIC GATE LLC (Headquarters: Osaka City, Osaka Prefecture; Representative: Masayuki Murata) will co-host a free seminar on Tuesday, August 4, 2026, from 14:00 to 16:30 at Marunouchi Building Hall & Conference Square Room 1 (Chiyoda-ku, Tokyo). The seminar, titled 'Former TSE Executive Explains via Case Studies: Serious IPO Preparation Starts Here — Practical Strategies to Avoid Stagnation in the N-2 Phase,' focuses on overcoming challenges in the 'N-2 phase' of IPO preparation—a period when practical work intensifies and schedule delays commonly occur.
In IPO preparation, the 'N-2 phase' is a crucial stage where operational activities become intensive. However, many companies face uncertainty—such as 'not understanding the latest review trends' or 'not knowing how robust their management systems need to be'—leading to delays and stagnation. Additionally, on the ground, teams struggle with severe resource shortages as they juggle regular operations with responding to review items from lead underwriters, creating organizational and managerial challenges.
Why do so many companies fail to go public on schedule? This seminar will address the 'N-2 phase barrier' by combining insights from a former TSE executive and firsthand experiences from executives who have successfully navigated IPOs. Attendees will gain practical strategies to overcome stagnation, insights into optimal organizational structures, and methods to enhance operational efficiency using the latest AI tools—equipping them with a clear, actionable roadmap to advance confidently through the N-2 phase.
Key Highlights of the Seminar
- Case Studies and Practical Insights from a Former TSE Executive
We will analyze real case studies to uncover the root causes of stagnation in companies that fail to meet IPO timelines. Drawing on the speaker’s deep experience at the Tokyo Stock Exchange, we will outline the current regulatory review trends and essential operational practices companies must adopt today.
- Panel Discussion: IPO-Experienced Executive and Finance Lead
Drawing from real-world experiences in audit responses and management system development, we will clarify the organizational structure required during the N-2 phase. Then, in a panel discussion format, an executive who led an IPO and the former finance lead will discuss: 'If we were to prepare for IPO again today, how would we leverage the latest AI tools in our operations?'
- Four Key Operational Areas to Address in 2026 IPO Preparation
Through this seminar, we will organize approaches to four critical operational areas: 'Latest TSE review trends and diversified market selection criteria in 2026,' 'The reality of the “lead underwriter refugee” issue,' 'Strategies to overcome common weaknesses in internal controls and budget vs. actual management,' and 'Practical implementation of AI-powered resource management and data integration to balance daily operations with audit readiness.'
