Notice Regarding Acquisition of All Shares of PERSOL Global Workforce (a subsidiary of Persol Career)

We are pleased to announce that YUIME Inc. (Headquarters: Minato-ku, Tokyo, Representative Director: Kohei Ueno, hereinafter referred to as "our company") has agreed to acquire all shares of PERSOL Global Workforce Inc. (a wholly owned subsidiary of Persol Career Co., Ltd. (Headquarters: Minato-ku, Tokyo, Representative Director and President: Yutaka Senno)), as detailed below.

1. Purpose and Background of Share Acquisition

Since starting the acceptance of Specified Skills (1) personnel into the agriculture sector as a certified project under the National Strategic Special Zone initiative in 2019, our company has been a frontier enterprise in the introduction and dispatch of foreign human resources, developing the market, recruiting talent, and building trust within the industry. Particularly in the agriculture sector, labor shortages during peak seasons have been a challenge. However, by establishing a specialized support system and fostering leader personnel, we have achieved "inter-regional cooperation," cyclically moving and sharing human resources among production areas across Japan with different harvest seasons and peak periods, thereby earning the trust and support of our customers. Fortunately, our business performance has been favorable, and we continue to work on expanding our business domain and improving the quality of our support.

In the Persol Group, while considering various strategic options for the medium-to-long-term growth of the foreign human resources introduction, support, and dispatch businesses handled by PERSOL Global Workforce Inc., it was determined that collaboration with our company would contribute to the further growth of this business and enhance corporate value, leading to discussions regarding this acquisition. Our company also determined that this business possesses excellent staff with extensive recruitment support experience and a network of human resources both domestically and internationally, exhibiting high complementarity with our existing areas and industries, which led to the decision for this acquisition.

2. Overview of Share Acquisition

Acquisition Target: PERSOL Global Workforce Inc. (wholly owned subsidiary of Persol Career Co., Ltd.) Acquisition Price: Undisclosed Scheduled Acquisition Date: October 1, 2026 (scheduled) Transaction Method: Share transfer

3. Future Outlook

Upon completion of the acquisition, the target business will be integrated into our company, and services will continue to be provided as before. We will ensure an environment where dispatch staff and client companies can continue to use our services with peace of mind. This transaction is expected to further expand our sales scale, number of registered staff, and service areas, thereby strengthening our overall capabilities as a human resources service company.
